Extraordinary General Meeting Notice

We would like to extend an invitation to The Clock’s E.G.M., which is taking place on  31st July 2019, 5.30pm in the Methodist Church, St James Green, Thirsk.

In light of the of the upcoming merger with Thirsk Community Care we are looking at the following:



  • Proposal to convert The Clock to a Charitable                                    

Incorporated Organisation:


Proposed special resolutions:

The members of The Clock (Yorkshire) Limited hereby resolve:


(a)        that (subject to approval by the Charity Commission) the company shall be converted to become a charitable incorporated organisation (CIO);


(b)       the CIO Constitution attached to this resolution shall take effect as its constitution (in place of the Articles of the company).  The existing trustees shall have the authority on behalf of the members of the company to agree further changes to the proposed CIO Constitution which they consider to be minor in nature, if requested by the Charity Commission prior to the date of conversion, without further reference to members.


            Note: The proposed CIO Constitution mentioned in part (b) is still in preparation but will be available from 22 July – copies will be available at the meeting or please email Jenny Jenny.clark@thirskcommunitycare.org.uk  if you would like a copy beforehand.  However, there will be no change to the charitable objects, membership or trustees – so everyone who is a member of the charitable company at present will continue as a member of the CIO.
